Terms & Conditions
Website Design, Development & Maintenance Services
1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between WEBARC STUDIO LTD (“we”, “us”, “our”, the “Company”) and any individual, company, organisation or business (“Client”, “you”, “your”) who engages the Company for website services.
The Company provides professional website design, development, hosting, maintenance and related technical services.
By engaging the Company for any service, making payment, approving a proposal, signing an agreement, or allowing work to commence, you acknowledge that you have read, understood and agreed to be bound by these Terms.
Where a signed service agreement exists between the Company and the Client, the terms of that agreement take precedence over these Terms to the extent of any conflict.

3. Services Provided
The Company provides website services including but not limited to:
- Custom website design and development
- Fully coded, mobile responsive websites
- Business, restaurant and e-commerce websites
- Website optimisation and performance improvements
- Search engine optimisation (SEO) implementation within website builds
- Domain management, SSL certificate setup and website security configuration
- Hosting solutions
- Website maintenance, updates and technical support
The Company does not use generic template solutions unless specifically agreed with the Client. Websites are developed based on the Client's brand identity, objectives and customer experience requirements.
4. Website Development Process
Before development begins, the Company may collect required information including but not limited to business information, brand guidelines, logos, images, videos, written content, service and product details, and website preferences.
The Client is responsible for providing accurate and complete information required for the successful completion of the project.
Any delays caused by missing information, delayed approvals or lack of communication from the Client may affect the agreed delivery timeline.
5. Payments
Deposit Payment
A 50% deposit payment is required before any development work begins. The project will not commence until the deposit has been received.
Final Payment
The remaining 50% balance must be paid before the website is officially launched or transferred to the Client. Failure to complete the final payment may result in delays to website launch, transfer or delivery.
6. Website Ownership & Transfer
Upon completion of all required payments, ownership rights of the completed website will belong to the Client, including the website design created specifically for the Client, website content created for the project, and the website structure and pages.
Domain ownership remains with the Client if purchased under the Client's account or transferred accordingly.
Hosting services provided by the Company may be transferred to the Client upon request after completion of all outstanding payments. Once transferred, the Company will no longer be responsible for ongoing hosting, security, maintenance or technical management unless a separate agreement or subscription service is active.
7. Website Maintenance & Ongoing Support
After website completion, Clients may continue benefiting from the Company's ongoing support services through an active monthly maintenance subscription. Maintenance services may include website updates, content changes, security monitoring, technical support, performance improvements, hosting management and general website assistance.
Any additional development work, major changes, new features or significant redesign requests fall outside the maintenance subscription and may require additional charges.
8. Domain, Hosting & Security
The Company may provide domain management, hosting solutions and SSL/security setup services. Hosting services are managed to provide reliable website performance and security. However, the Company cannot guarantee uninterrupted availability due to circumstances outside of our control, including third-party hosting providers, server issues, cyber incidents or internet infrastructure failures.
9. Search Engine Optimisation
Where SEO implementation is included in a website build, results depend on multiple factors including competition, search engine algorithms, industry conditions and website history. The Company does not guarantee first-page rankings, specific keyword positions, traffic levels, or sales and conversions.
10. Client Responsibilities
The Client agrees to:
- Provide accurate business information
- Provide required materials and access when necessary
- Respond to communication requests within reasonable timeframes
- Review and approve designs and content promptly
- Ensure provided information and materials do not violate laws or third-party rights
- Maintain responsibility for their own business operations and legal requirements
If the Client provides copyrighted, licensed or third-party materials without permission, the Client accepts responsibility for any related claims or disputes. Delays caused by Client actions may affect project completion timelines.
11. Revisions & Changes
Reasonable revisions may be included depending on the agreed project scope. Additional requests outside the original agreed scope may require additional fees, including additional website pages, new website features, major redesign requests, or extra materials.
12. Intellectual Property Rights
Upon full payment, the Client receives ownership rights for the final approved work created specifically for their project.
The Company retains ownership of its internal processes, development methods, business systems, templates, technical frameworks, and general knowledge and experience.
The Company reserves the right to showcase completed projects in its portfolio, website, social media channels and marketing materials unless otherwise agreed in writing.
13. Confidentiality
The Company respects Client confidentiality and agrees not to disclose confidential business information received during the working relationship. Both parties agree to protect confidential information obtained during the project.
14. Data Protection & GDPR Compliance
The Company handles Client information responsibly. Personal data may be collected and processed for purposes including providing services, communication, account management, project delivery and service improvement. The Company follows applicable data protection requirements, including UK GDPR and the Data Protection Act 2018. Client information will not be sold or shared with unauthorised third parties.
15. Cancellation & Refund Policy
Due to the digital nature of the Company's services, all payments are non-refundable. This includes deposits and full project payments.
Because work, resources and development time are committed from the moment payment is received, website projects cannot be cancelled and payments cannot be refunded after payment has been made.
Monthly subscription services may be cancelled by providing the notice period stated in the applicable service agreement. Subscription payments already made are non-refundable.
Nothing in this section affects any rights or remedies the Client may have under applicable law in the event that the Company fails to deliver the agreed services.
16. Limitation of Liability
The Company will always aim to provide professional and reliable services. However, the Company shall not be responsible for loss of business opportunities, loss of revenue or profits, third-party platform changes, hosting provider failures, search engine algorithm changes, or Client-provided inaccurate information.
Clients acknowledge that website performance depends on various factors outside the Company's direct control. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.
17. Force Majeure
The Company shall not be responsible for delays or failures caused by circumstances outside reasonable control, including but not limited to natural disasters, internet failures, government restrictions, third-party service failures, or technical issues beyond reasonable control.
18. Changes to These Terms
The Company reserves the right to update these Terms and Conditions when necessary. Updated versions will apply to future services and agreements.
19. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of England and Wales.
